II. DUTIES AND RESPONSIBILITIES
Legal Documentation and Contract Management
- Prepare legal opinions, arguments, memoranda, pleadings, reports, and other legal documents.
- Draft, review, revise, and negotiate various contracts and agreements, including but not limited to IT contracts, service agreements, supply agreements, and Memoranda of Agreement (MOAs).
- Ensure that contracts comply with applicable laws and regulations while aligning with the Company’s business objectives.
- Lead contract negotiations by identifying legal risks, recommending revisions, and advising stakeholders on contract provisions to protect the Company’s interests while maintaining commercial viability.
- Maintain, organize, and update legal records, contracts, and other legal documents, ensuring proper document control and accessibility.
Legal Research and Advisory
- Conduct legal research and gather relevant information to support contract negotiations, litigation, dispute resolution, and other legal matters.
- Provide legal advice and guidance on corporate, contractual, regulatory, compliance, and litigation matters.
- Prepare legal reports, presentations, and updates for management and other stakeholders.
- Keep stakeholders informed of significant developments involving legal cases, disputes, and contract negotiations.
Litigation and Dispute Resolution
- Assist in the management and resolution of legal disputes and litigation matters.
- Prepare for trials, hearings, mediations, and other legal proceedings, including document review, case analysis, strategy discussions, and compliance with procedural requirements.
- Attend and represent the Company in judicial, quasi-judicial, administrative, and regulatory proceedings as necessary.
- Coordinate with external counsel, government agencies, and relevant parties concerning legal matters.
Compliance and Corporate Support
- Participate in legal initiatives, process improvement projects, compliance programs, and risk management activities.
- Ensure adherence to applicable laws, regulations, and internal company policies.
- Provide legal support on various corporate, governance, and regulatory matters.
- Notarize documents when authorized and required.
- Maintain the confidentiality and security of all client, company, and legal information.
III. QUALIFICATIONS
A. Educational Requirements
- Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree.
- Must have passed the Philippine Bar Examination.
- Must be a member in good standing of the Integrated Bar of the Philippines (IBP).
